Terms of Use

Welcome to Kaleidicloud. These Terms of Use (the “Terms”) are a binding agreement between you and Holy LLC (“Holy LLC”, “we”, “us”, or “the Company”), the operator of Kaleidicloud and the sub-brands operated on it — including the Brick Box Studio: Kingdom Connection, Goldensounds, and any other room, feature, or service made available on the platform (collectively, the “Services”). By creating an account, signing in, or otherwise using the Services, you agree to these Terms, our Privacy Policy, our Content Policy, our Acceptable Use Policy, our Cookie Policy, our DMCA / Copyright Policy, our Disclaimers, and our Payments & Refunds Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use Kaleidicloud, and at least 18 to buy or sell services, receive or send payments, participate in auctions or bargaining, list offerings on the Brick Box Studio, or enter into a booking. If you are between 13 and 17, you may only use social and profile features with your parent or legal guardian’s supervision and consent. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your account

• You are responsible for the accuracy of information you provide and for keeping your login credentials secure.
• You may not share your account, impersonate another person or organization, or create an account after being removed.
• We may suspend, restrict, or terminate any account at our sole discretion if we believe these Terms, our policies, or applicable law have been violated.

3. User content & license to us

“User Content” means anything you upload, post, submit, or otherwise make available on the Services — profile text and media, project pages, needs and offerings, messages, bids, listings, forum posts, lyrics, cover art, box-set contents, and so on.

• You keep ownership of your User Content.
• You grant Holy LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting, moderation, and safety), display, and distribute your User Content solely to operate, promote, and improve the Services. This license ends when you delete the User Content or your account, except for copies retained for legal, backup, safety, and audit purposes and copies already shared with other users.
• You represent that you own or have all necessary rights to your User Content and that it does not infringe anyone’s rights or violate any law or our policies.

4. Our content

The Services (including the Kaleidicloud, Brick Box Studio, and Goldensounds names, logos, prism marks, color system, layout, code, and copy) are owned by Holy LLC or its licensors and protected by intellectual property laws. Except as permitted by these Terms, you may not copy, modify, distribute, sell, or create derivative works from them.

5. Acceptable use & content standards

You agree to follow the Acceptable Use Policy and the Content Policy. Violations may result in removal of content, suspension, permanent account termination, and — for serious or repeated violations, or violations by providers on the Brick Box Studio — listing on the Public Blacklist.

6. Brick Box Studio: Kingdom Connection

The Brick Box Studio: Kingdom Connection is an evangelical Christian room within Kaleidicloud. Serving as a provider there additionally requires you to affirm the evangelical confession posted in the join flow and to abide by the conduct acknowledgments in it. Holy LLC (through Cord Schnakenberg and any leaders he designates) is the authority for admitting, restricting, removing, and publicly blacklisting providers, organizations, and users on the Brick Box Studio. Appeals may be sent to kaleidicloud@gmail.com.

7. Payments, fees, and Stripe

Payments on Kaleidicloud are processed through third-party payment processors, including Stripe. By using paid features you also agree to the applicable processor’s terms.

• Standard service fee. Kaleidicloud charges a service fee of 3.5% per side on each booking or paid engagement — 3.5% from the client and 3.5% from the vendor (7% combined on the transaction total). Stripe’s payment processing fees (typically about 2.9% + $0.30 per successful charge) are separate and are passed through in addition to the service fee.
• Vendor customization. When a vendor sends a quote, they may choose who covers each fee — the Kaleidicloud service fee and the Stripe processing fee — independently. Vendors can (a) split each fee 50/50 with the client (the default), (b) absorb the full fee themselves, or (c) pass the full fee on to the client. The fee split is disclosed on the quote and in the booking contract before payment.
• Brick Box Studio: Kingdom Connection. Kaleidicloud does not charge a platform commission on gifts sent to needs on the Brick Box Studio. Senders still pay applicable Stripe processing fees.
• Applicable fees for other paid features are disclosed at the time of purchase, booking, or listing.
• You are solely responsible for the accuracy of the goods or services you offer, and for any taxes owed on income you receive.

Refunds, disputes, and chargebacks are governed by the Payments & Refunds Policy.

7a. Our right to remove users and cancel sales

Holy LLC may, at its sole discretion and at any time, with or without notice:

• suspend, restrict, remove, or permanently terminate any user, organization, listing, project, quote, booking, gift, offering, or post;
• refuse, cancel, reverse, or issue a full or partial refund on any sale, quote, booking, gift, pledge, auction, or bargaining commitment; and
• hold, delay, or return funds where we believe doing so is necessary to protect users, comply with law, prevent fraud or abuse, enforce our policies, or preserve the integrity of the Services.

Where a sale is cancelled or reversed by us, we will use commercially reasonable efforts to notify the affected parties and to return funds through the original payment method, subject to processor limitations.

8. AI-assisted features

Kaleidicloud uses AI (for matchmaking, profile summaries, the create wizard, and other features) to help users find and describe each other. AI outputs may be inaccurate, incomplete, or biased and should not be relied on for any legally significant decision. You are responsible for reviewing AI-generated content before publishing or sending it.

9. Third-party services and links

The Services may link to or integrate with third-party services (Stripe, Supabase / Lovable Cloud, OAuth providers, email delivery, and others). We do not control third-party services and are not responsible for their content, practices, or terms.

10. Termination, admission, and removal at our sole discretion

You may stop using the Services and delete your account at any time from your account settings. Access to Kaleidicloud is a privilege, not a right.

Kaleidicloud (Holy LLC) reserves the sole and absolute right to allow or deny any person access to the Services, and to restrict, remove, suspend, terminate, ban, or publicly ban any user or any content at any time, for any reason or for no reason, with or without notice and without liability. This includes publicly listing removed accounts on the Public Blacklist together with the reason for removal.

We also curate for beauty. Kaleidicloud is intended to be a beautiful place, and anything we do not consider beautiful — in our own opinion and judgment — may be removed or returned to you with a request for alteration. See the Content Policy for the standards we apply.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. See the Disclaimers page for more.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOLY LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HOLY LLC FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS.

13. Indemnification

You agree to indemnify and hold harmless Holy LLC, its affiliates, and their officers, employees, and agents from any claim, demand, damages, loss, or expense (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services, or your violation of these Terms, our policies, or any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Holy LLC maintains its principal place of business, without regard to conflict of laws rules. You agree to resolve disputes exclusively in the state or federal courts of that jurisdiction, and you consent to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by posting a notice on the site or by email) and update the “Effective” date at the top of this page. Your continued use of the Services after changes take effect means you accept the updated Terms.
